Consortium Centro America Abogados through its offices in Guatemala, Consortium-Rodríguez, Archila, Castellanos, Solares & Aguilar, acted as a local legal counsel to Hidro Xacbal, S.A. in a US$182M syndicated loan for the construction, development and operation of a 94MW power plant located in Chajúl, Quiché, Guatemala. RBTT Merchant Bank, a Trinidad & Tobago commercial and investment bank, acted as lead arranger and lender of the syndicated loan, together with FMO, CABEI and other regional banks. The security package was formed by two trusts structured in accordance to the nature of the project and the several phases that have to be completed before reaching the initial operation date. When construction is finished, the plant will supply the renewable energy to the national interconnected system. Hidro Xacbal is owned by Grupo Terra, a Honduran investment and development group with significant experience in the development and operation of power plants in the Central American region. The financing transaction consisted on a highly complex and sophisticated structure involving numerous agreements governed by foreign law and Guatemalan law. Alejandro Cofiño, member of Consortium in Guatemala was the head legal counselor for this important transaction. |
